1. Introduction

Welcome to Omnicoach. These Terms of Use ("Terms") govern your access to and use of the Omnicoach application, website, and services (collectively, the "Service") operated by Cunningham Technologies Ltd ("we", "us", or "our").

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Service.

2. Account Eligibility

You must be at least 18 years old to use Omnicoach. By creating an account, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• All information you provide is accurate and current
• You will maintain the security of your account credentials

3. Subscription Terms

Omnicoach Pro

Omnicoach offers a subscription service called "Omnicoach Pro" that provides access to premium features including:

• Unlimited personalized workout programs
• AI-powered program generation and modifications
• Progress tracking and analytics
• Wellness check-ins and coaching
• Progress photos and measurements tracking

Pricing

The Omnicoach Pro subscription is priced at £9.99 per month. The subscription automatically renews each month unless cancelled.

Payment Methods

Payments are processed through:

• Apple In-App Purchase (iOS) – For users accessing Omnicoach through the iOS mobile app
• Stripe (Web and Android) – For users accessing Omnicoach through the web or Android app

The payment method depends on how you initially subscribe. Your payment information is securely handled by Apple or Stripe and is subject to their respective privacy policies and terms of service.

4. Free Trial

New users are eligible for a 14-day free trial of Omnicoach Pro. During this trial period:

• You have full access to all premium features
• No payment method is required to start the trial
• The trial automatically ends after 14 days
• To continue using Omnicoach Pro after the trial, you must subscribe
• You may cancel at any time during the trial without being charged

The free trial is available once per user. Users who have previously subscribed or completed a free trial are not eligible for additional free trials.

5. Auto-Renewal and Billing

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Billing Cycle

Subscriptions are billed monthly. You will be charged:

• Immediately upon subscribing (after your free trial ends, if applicable)
• At the start of each subsequent monthly billing period
• 24 hours before your current period ends (for auto-renewal)

Price Changes

We reserve the right to change our subscription pricing. If we increase the price of your subscription, we will provide you with at least 30 days' advance notice. The new price will apply to your next billing cycle after the notice period, unless you cancel your subscription before the new price takes effect.

Payment Authorization

By subscribing, you authorize us (or Apple/Stripe on our behalf) to charge the subscription fee to your chosen payment method automatically each billing period until you cancel.

6. Cancellation

How to Cancel

You may cancel your subscription at any time. The cancellation process depends on how you subscribed:

For iOS subscriptions (Apple In-App Purchase):

• Open the Settings app on your iPhone or iPad
• Tap your name at the top
• Tap Subscriptions
• Select Omnicoach
• Tap Cancel Subscription

Alternatively, you can manage your subscription through the App Store app on your device or at apps.apple.com/account/subscriptions.

For web or Android subscriptions (Stripe):

• Log in to your Omnicoach account
• Navigate to Settings → Billing
• Click "Manage Subscription"
• Follow the prompts to cancel

Effect of Cancellation

When you cancel your subscription:

• Your cancellation takes effect at the end of your current billing period
• You will continue to have access to Omnicoach Pro features until the end of the paid period
• You will not be charged for subsequent billing periods
• Your subscription will not automatically renew

We do not provide refunds or credits for partial subscription periods. If you cancel mid-month, you will retain access until the end of that month but will not receive a prorated refund.

7. Refunds

Refunds are handled according to the policies of the payment processor:

Apple In-App Purchases: Refund requests must be submitted directly to Apple through reportaproblem.apple.com. Apple's refund policy applies, and we cannot process refunds for purchases made through the App Store.

Stripe Payments: Refund requests for web or Android subscriptions can be submitted to hello@omnicoach.app. Refunds are granted at our sole discretion and typically only in cases of billing errors or technical issues that prevented you from using the Service.

We do not offer refunds for:

• Change of mind or dissatisfaction with the Service
• Failure to cancel before the renewal date
• Unused portions of a subscription period

8. Service Availability

We strive to provide reliable and uninterrupted access to Omnicoach. However, we do not guarantee that:

• The Service will be available at all times without interruption
• The Service will be free from errors, bugs, or technical issues
• Any specific features will remain available indefinitely

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify active subscribers of significant changes that materially affect the Service.

9. User Responsibilities

When using Omnicoach, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Not share your account credentials with others
• Not use the Service in any way that could damage, disable, or impair our systems
• Not attempt to reverse engineer, decompile, or extract source code from the Service
• Consult with a healthcare professional before beginning any fitness program
• Use the workout programs at your own risk and within your physical capabilities

10. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, software, and workout programs, are owned by Cunningham Technologies Ltd and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use. You may not:

• Copy, modify, or distribute any content from the Service
• Use the Service or its content for commercial purposes
• Remove or alter any copyright, trademark, or other proprietary notices

You retain ownership of any data you input into the Service, including workout history, measurements, and photos. We handle your data in accordance with our Privacy Policy.

11. Disclaimer and Limitation of Liability

Health and Fitness Disclaimer

Omnicoach provides fitness guidance and workout programs, but is not a substitute for professional medical advice. Before beginning any exercise program, you should consult with a physician or other healthcare professional. The workout programs are general in nature and may not be suitable for everyone.

You acknowledge that:

• Exercise involves inherent risks of injury
• You are voluntarily participating in these activities at your own risk
• You should stop exercising immediately if you feel faint, dizzy, or experience pain
• We are not liable for any injuries, losses, or damages resulting from your use of the Service

Limitation of Liability

To the maximum extent permitted by law, Cunningham Technologies Ltd and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

In no event shall our total liability to you for all damages exceed the amount you paid to us in the twelve (12) months prior to the action giving rise to liability.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by cancelling your subscription and deleting your account through the app settings.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

13. Changes to These Terms

We may update these Terms of Use from time to time to reflect changes in our practices, services, or legal requirements. When we make changes, we will:

• Update the "Last updated" date at the top of this page
• Notify active users via email or in-app notification for material changes
• Provide at least 30 days' notice for changes that materially reduce your rights

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscription and stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of England and Wales.
